Terms of Service

Agreement to terms

These Terms of Service ("Terms") govern access to and use of CONNECT (the "Platform"). By creating an account, accessing, or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

About the Platform

CONNECT provides an online marketplace that enables buyers to publish RFQs and suppliers to submit offers. We facilitate discovery, communication, and comparison tools. We are not a party to contracts between buyers and suppliers unless explicitly stated in writing.

Eligibility and accounts

• You must be at least 18 years old and authorized to act on behalf of your organization when registering a business account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree to provide accurate, current, and complete information and to keep it updated.
• We may suspend or terminate accounts that violate these Terms or pose a security or legal risk.

Buyer responsibilities

• RFQs you publish must be accurate, lawful, and made in good faith.
• You are responsible for evaluating offers, conducting due diligence, and awarding contracts outside or within the Platform as you determine.
• You will not use the Platform to solicit unlawful goods, services, or discriminatory requirements.

Supplier responsibilities

• Offers you submit must be truthful, based on genuine pricing and capability, and submitted in good faith.
• You are responsible for the accuracy of company profiles, product listings, certifications, and other showcase content.
• Approval to join the supplier directory, offer credits, and category visibility may be subject to review and platform rules.

Acceptable use

You agree not to:

• Misuse the Platform, interfere with its operation, or attempt unauthorized access.
• Upload malware, scrape data without permission, or harvest user information.
• Harass, impersonate others, or post false, misleading, or defamatory content.
• Circumvent fees, limits, or access controls established by the Platform.

Content and intellectual property

The Platform, branding, software, and design elements are owned by us or our licensors. You retain ownership of content you submit, but grant us a non-exclusive license to host, display, and use that content to operate and promote the Platform. You represent that you have the rights to content you upload.

Third-party services

The Platform may integrate third-party sign-in, email, hosting, or analytics services. Your use of those services may be subject to separate terms and privacy policies.

Disclaimers

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free operation, or the accuracy of user-generated content. We do not endorse any buyer, supplier, product, or offer listed on the Platform.

Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities arising from your use of the Platform or transactions with other users. Our total liability for any claim relating to the Platform is limited to the greater of the amount you paid us for the service in the twelve months before the claim or one hundred US dollars (USD 100), unless applicable law requires otherwise.

Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your use of the Platform, your content, your RFQs or offers, or your violation of these Terms or applicable law.

Termination

You may stop using the Platform at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the service. Provisions that by nature should survive termination will remain in effect.

Governing law

These Terms are governed by the laws of the Kurdistan Region of Iraq, without regard to conflict-of-law principles. Courts in that jurisdiction shall have exclusive jurisdiction over disputes arising from these Terms or the Platform, unless mandatory consumer protection laws in your country require otherwise.

Changes to these Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be communicated through the Platform or by email. Continued use after changes take effect constitutes acceptance.
